Draft law published

Single State Register will be created on the basis of the Single Licensing Register and the Register of permit documents, as provided for in the draft law of Ukraine «On Amendments to Certain Legislative Acts of Ukraine to create a single register on the basis of the Unified State Register of legal entities and individual entrepreneurs, Single Licensing Register and the Register of permit documents», the press service of the Ministry of Justice informs.

The draft is put up on the website of the Ministry of Justice for comments and suggestions from the public.

In particular, the draft law provides free and easy access for everyone to open and publicly available information in the Single State Register via the Single State Registration Web Portal for legal entities and individual entrepreneurs; allowing everyone to obtain copies of constituent documents of legal entities and amendments thereto, authenticated by the state registrar, through the registration portal; licensing bodies and authorization authorities’ issuing extracts from the Single State Register of licensing certain business activities and granting permits, upon request from interested parties.

There are plans to introduce the state registration of the newly established legal entities and individual entrepreneurs by a notary as a special subject assigned the state registrar’s functions. Entities will get a possibility of annual confirmation of their data and financial statement of their economic activities electronically (except public bodies) within the balance sheet and the annual statement of financial position. Legal entities bear administrative liability for failure to submit, untimely submission of annual confirmation of their data. The procedure for issuing duplicate of entity’s constituent documents is regulated.

The draft law also envisages bringing the Law of Ukraine «On State Registration of Legal Entities and Individual Entrepreneurs» in line with the Criminal Procedure Code of Ukraine in terms of reclamation (seizure) of documents from the registration case.

For this purpose the draft law amends Ukraine's Code of Administrative Offences, Civil and Commercial Codes of Ukraine, Laws of Ukraine «On Notary», «On Accounting and Financial Reporting in Ukraine», «On state registration of legal entities and natural persons – entrepreneurs”, «On licensing certain types of activities» and «On Permit System in Economic Activities.»
